Know the Disadvantages of Forming a Corporation

Know the Disadvantages of Forming a CorporationKnow the Disadvantages of Forming a CorporationCorporations offer a business many advantages, but there are also disadvantages that must be considered. These include loss of control of the business as it moves from privately owned to publicly owned double taxation if the business is a C corporation state-required filing fees, written bylaws, and various documents and determination of and adherence to applicable rules and regulations. These disadvantages are discussed in greater detail below. Distinct Legal Entity If a business is your idea and passion in life, it is important to understand that you will not be the personal owner. A corporation is a distinct legal entity that is governed by a hauptplatine of directors. There are federal and state rules and regulations that dictate who can serve on a mainboard of directors. In most cases, family members and spouses cannot serve on a small corporations board simultaneously. It is possib le that even if you started the corporation, a board could take control of the business, thus leaving you without a say. A board often has the ability to fire (even the founder) and to vote other board members off the board. If you need to maintain total control of your business, you should consider another form of business structure. Double Taxation Another disadvantage of forming a corporation is the double taxation requirement. C corporations pay taxes on profits when corporate income is distributed to owners (shareholders) in the form of dividends. This is the first taxation. The shareholders who receive dividends must also pay taxes for this distribution on their personal returns. This is the second taxation of the same money. The corporation itself does not pay taxes twice, but just the sound of double taxation can make potential business owners cringe. However, there is another option. Choose the Internal Revenue Service (IRS) S Corporation tax status to avoid double taxa tion. Expensive to Form There are many filing fees associated with forming a corporation. Nonprofits must file even more paperwork because they must apply to the IRS for tax exemption status (minimum $750 to apply). In a few states, nonprofits may also have to file separately for state tax exemption status. Even small fees can add up if you are cash-strapped already. Complicated to Form Corporations must file Articles of Incorporation with the state they are incorporating in for which states charge different filing fees. They may also need to file ?bylaws, which may require the help of an attorney to write. Most states also require corporations to file annual documents and/or franchise tax fees. Nonprofits typically also have to pay fees for registering their charity each year. Although many entrepreneurs file all their own paperwork, if you are new to business you should at least consult with a business attorney before attempting to form a corporation on your own. Extens ive Rules to Follow There are many standards required by law on how a corporation governs itself. Corporations must have a board of directors, hold meetings at determined intervals, and keep certain records. If a corporation sells stock or has a membership, there are many other rules that apply. Starting a business is a big commitment of time, resources, and money. Before deciding on thetype of businessto form, it is important to weigh all of the pros and cons of each business structure.

Leverage Government Service in a Private-Sector Resume

Leverage Government Service in a Private-Sector ResumeLeverage Government Service in a Private-Sector ResumeLeverage Government Service in a Private-Sector Resume How to Leverage Your Government Service in a Private-Sector ResumeBy Kathryn Troutman, RP President The Resume Place, Inc., andCreator and Program Director, Ten Steps to a Federal Job Certification ProgramPublished July 6, 2017Youve done well in your federal government career, but you have various reasons to consider a leap to the private sector Although youve progressed on the GS pay scale, youre looking for more upside potential. Or you want to apply your considerable skills in a more entrepreneurial environment. Or youre frustrated by the budget, staffing and mission uncertainties that come with this rookie White House administration. Or maybe some combination of the above.Whatever your motivations, this is a great time for government employees to consider private-sector career opportunities, with open jobs reaching a re cord 6 million in a recent Bureau of Labor Statistics report. But before you start applying, take care of business by thoroughly revamping your long-form federal resume into a two-page resume for the business world whether youre interested in managing a local concern or signing on with a Fortune 500 corporation. Heres how.STEP 1 Make the decision to consider career opportunities outside of government. The transition from federal to private-sector employment presents some challenges, but you are up to the task. So commit to taking a good look at whats out thereSTEP 2 Identify two private-sector job postings of interest. Consider which of the many skills youve developed in the civil service will be most transferable to the business world. Focus on the private-sector opportunities that youll be most passionate about.STEP 3 Start writing your private-sector resume. Highlight core competencies that you have developed working for the federal government, especially those that are tran sferable to the private industry and to the specific role that you seek.STEP 4 State relevant, impressive accomplishments and match keywords from your federal career. Use language that will catch the ear of the private-sector employers you want to work for use keywords that figure prominently in the job postings youre targeting. Avoid acronyms and jargon that may only have currency in government. Your transferable experience and accomplishments will impress your mastery of the language of federal bureaucracy will not. Additionally, many private sector forms will use automated systems for keywords from their recruitment advertisements.STEP 5 Keep it short. If youre working from a typical multi-page federal resume, condense it to no more than two pages in 11-point type. Eliminate the inessential cut irrelevant experience and avoid describing accomplishments that dont translate well to a private-sector job application. At the same time, assume that your audience knows nothing about the inner workings of your government agency or department. Where you must explain, keep it very brief.STEP 6 Ask a friend or associate for feedback. Give a trusted person your resume on paper and a red pen to fruchtfleisch it up with detailed, thorough and unsparing feedback on the form, content and prose style. Try to find a reviewer who is employed in the private sector, preferably someone who works in the industry youre targeting. Ask them to imagine themselves as your hiring manager and to give a thumbs up or down as they read each line.STEP 7 For each job posting, create a customized cover letter. Write a letter to your audience of private-sector recruiters, human resources professionals and hiring managers that provides a bridge from your government experience to the requirements of the position you seek. You can mention your reasons for making a move to the private sector, but maintain a positive tone throughout.Use our free, fast and excellent Cover Letter Builder Clic k here.STEP 8 Track your private-sector employment applications. Use online tools, email and phone to monitor the progress of your applications and to follow up personally as appropriate. Keep pace with the private-sector hiring process, which can move more quickly than government recruitment.Contact The Resume Place if youd like helpin exploring career options in the private sectorGET HELP WITH YOUR TWO PAGE PRIVATE SECTOR RESUMEGET prozentzahl HEREMore than 15 samples of one and two page private sector resumes that are designed with www.hloom.com free resume templatesBeautiful resumes with columns, bars and logos. Robophobia Bridging the Uncanny Valley

Robophobia Bridging the Uncanny Valley Robophobia Bridging the Uncanny Valley There is good reason why the idea of a dystopian future in which robots rise up to dominate their human creators strikes fear in the hearts of many people. If it looks human and acts human, and does human-like tasks, but is not in fact actually human, it makes us uneasy.Filmmaker James Cameron tapped into this very primal fear in 1984 when he created the T-800 robot, Arnold Schwarzeneggers character in The Terminator that was, in his words, a chrome skeleton, like death rendered in steel. Speaking to The Guardian in 2003, Cameron expounded on this view of technology, saying, I see our potential destruction and the potential salvation as human beings coming from technology and how we use it, how we master it, and how we prevent it from mastering us.Promoting this worldview has made Cameron and his backers very wealthy. When adjusted for inflation, the Terminator film franchise has grossed more than $2 1000 m illiarden worldwide since 1984. But it tapped into larger concerns that many in the technology industry, particularly those who are designing the next generation of real robots, are facing as artificial intelligence (AI) and robotics become part of our daily lives.Machine-Induced AnxietyRobophobia is a real condition, in fact, defined by psychologist Dr. Graham Davey in his 1997 book, Phobias A Handbook of Theory, Research and Treatment as an anxiety disorder in which sufferers have an irrational fear of robots, drones, robot-like mechanics, or artificial intelligence. Its symptoms are typical of any anxiety disorder panic attacks, sweating, anxiousness, discomfort, etc. But in the case of robophobia, they are kicked off by either the sight of a robot, being near a robot, or even just talking about robots. According to Davey, as much as 20 percent of the worlds population suffers from the condition.According to Forrester Research, the cognitive era will create 8.9 million new automa tion specialist jobs in the U.S. by 2025. Image Wikimedia CommonsBeyond this, many people also have very pragmatic concerns that robots and AI will soon swoop in and take their jobs, automating many of the tasks that human workers now perform. In this case, those fears are well grounded. According to Forrester Research, cognitive technologies like robots, AI, machine learning, and automation are expected to impact 7 percent of U.S. jobs by 2025, replacing 16 percent of all career fields while creating nearly nine million new jobs in new fields like robot monitoring, data science and content curation.Overall robophobia, whether it is grounded in existential or economic concerns, is so pervasive that it is the next big hurdle in tech, believes Dr. Achin Bhowmik, the top robotics executive at Intel and general manager of the companys Perceptual Computing Group.PCG is developing robots for real-world applications. Robophobia tops the list of issuesnow that many of the engineering proble ms involved in creating robots have been addressed, includingautonomous navigation, 3D vision sensing, and more.I strongly believe that psychology and biology are the only way to go after fulfilling the promises that robotics have in making it pervasive in a human environment, he says. The promises are just amazing.Intel has been deploying its technologies for retail stores, home assistants, eldercare and more, and human-robot interaction is becoming a critical part of interface design, he says. For example, one of the companys robots is designed to function as a mechanical hotel butler, interacting with guests, welcoming them and taking them to their room. In the event the partie needs something from the front deskan extra bar of soap or a toothbrush, for examplethe robot will take that order itself and deliver the requested items automatically to the room without any human interaction. The technology is there to support all of these functions, but the big question now is will human s feel comfortable and safe interacting with a robotic butler like this? What will they think when they open their hotel room door and see a robot holding their toothbrush? We couldnt have done all this, ranging from the human assistant robot in peoples homes to the hotel butler robot to retail store robot to your Segway if we really didnt pay a lot of attention to the biological aspects, Bhowmik says.Steps Toward AcceptanceDr. Kevin LaGrandeur, a professor at New York Institute of Technology and the author of Androids and Intelligent Networks in Early gammeln Literature and Culture Artificial Slaves, believes that part of the aversion to robots and technology is cultural and is a reflection of the fact that many of us, Americans in particular, have been bombarded with negative messages about robots and AI for decades. Camerons Terminator creation is just one example of this.Robots arent as well accepted in American households as they are, say, in Japan where theyre actually a lot mo re popular, he says. To some extent I think the Japanese have sort of a love affair with robots because theyre kind of trained to it from the time theyre younger. They have more cartoons and shows and things that have to do with robotic type of technology. In Japan there is also a greater need for robotics,in part because its population is aging and there will soon not be enough young people to take care of the older generations, he says. Robots will be needed to step in and handle those care roles, and that is a future for which the country is actively planning.Thatisnt happening yet in the U.S.Aside from this need, LaGrandeur believes the machines themselves are partly to blame for slow adoption in North America and Europe. Even though we are several decades into the robotic development process, many of those that are currently available, such as the Roomba, can be unreliable and confusing to use, turning off those users who are not tech savvy. That needs to change before wide adop tion is possible.Whats more, once robots become more multifunctional and useful, people will become more comfortable seeing and interacting with them on a regular basis, lowering the barriers to entry.Right now you either have robots that can carry on a conversation like Pepper, the new Japanese robot made with Aldebaran, and its amusing but it cant do much of anything practical, says LaGrandeur. Then, on the other hand, you have a robot that can do one thing like lift a human being and move it to another bed, but cant do anything else. I think until we get more AGI, artificial general intelligence, I think people are going to see these things as of limited use.Tim Sprinkle is an independent writer. For Further Discussion I strongly believe that psychology and biology are the only way to go after fulfilling the promises that robotics have in making it pervasive in a human environment, and the promises are just amazing.Dr. Achin Bhowmik, Intel
